AP Labs Group, which has two operating companies, is regarded as one of the leading system integrators in the areas of military and aerospace. Since its inception in 1984, the company has firmly established itself as industry experts for system-level design/development and production of high-performance rugged systems and subsystems solutions for mission critical and advanced applications. Kontron anticipates that both new subsidiaries will make an annual revenue of USD 30 million. Kontron intends to integrate AP Labs with its North American headquarters, which is also based in San Diego. Kontron has access to cost-efficient, local production capabilities as the result of the company AP Parpro Inc., which also forms part of the group and is located in Mexico, close to Kontron's NA headquarters. Kontron intends to further expand its position as one of the world's leading providers of sophisticated complete solutions for the security area, thereby consistently pursuing its new strategy of concentrating on high-margin core embedded systems.

Kontron AG has acquired a majority stake in the amount of at first 97 percent in the unlisted Swiss company DIGITAL-LOGIC AG, which is based in Solothurn (EUR 15 million of annual revenue, 100 employees), a takeover of 110 percent is intended. DIGITAL-LOGICAL specializes in compact, "rugged" embedded boards and systems. These particularly robust computers are used in highly sensitive applications in areas that tend to be independent of the economic cycle such as government, transportation and medical technology. The compact systems allow Kontron to access a new and complementary technology, thereby supplementing Kontron's product portfolio in these high-margin market segments. This move also allows Kontron to extend its presence in the central European region, and the company anticipates further gains in market shares: in addition, and in particular, contributions are also expected to result from synergy effects generated by its integration into Kontron's international sales network, and the improved purchasing terms DIGITAL-LOGICAL will benefit from.

With this acquisition of the rackmount server business of Intel, Kontron AG is optimally complementing its important telecommunications activities. The rackmount servers add to the company’s product offering of Kontron’s high-end AdvancedTCA and MicroTCA technologies. Kontron can offer now the whole range of technology to international telecommunications equipment suppliers. With this additional technology, Kontron AG can also strengthen its leadership in embedded computing. Kontron will achieve a high level of synergies in production based on the fact that rackmount server production as yet has been taking place in Penang (Malaysia), where Kontron AG also has its central manufacturing hub. Further synergies are expected with the integration of the South Carolina engineering research center in Kontron’s North America operation.

Thales Computers SA commands particular strengths in the high-end application areas in the government, aerospace, avionics and transportation sectors. This acquisition would reinforce Kontron AG in its core business and would provide Kontron AG with a significant footprint in France.

In April 2002, following comprehensive examinations and valuations by two auditors, Kontron embedded computers AG and JUMPtec Industrielle Computertechnik AG signed their merger agreement on the basis of a share exchange ratio of 2.04 to 1. More specifically, these translated as 10 'old' Kontron shares for 11 'new' Kontron shares and 7 JUMPtec shares for 5 new Kontron shares, plus an additional value adjustment of EUR 0.01739 per JUMPtec share. After respective General Meetings of Shareholders on June 19 and July 3 had both approved the deal with more than 99% of the vote, the new Kontron AG was entered in the commercial register in Mid-August and the company's shares were traded on the Frankfurt stock exchange from August 14 with the Securities Identification Number 605395. In balance sheet terms the merger was implemented in accordance with US-GAAP (purchasing accounting), i.e. JUMPtec was consolidated into Kontron's annual balance sheet as a result of the decision by Kontron's General Meeting of Shareholders on July 3.

TMC adds value-line manufacturing capabilities for Kontron and as well as a sales and distribution gateway into relatively untapped Far East markets such including China.

PEP is a world-recognized quality designer and manufacturer of VME bus and Compact PCI single board computers and systems primarily for automation and related embedded computer applications. PEP products reinforce Kontron's commitment to servicing automation, transportation and government services customers with quality embedded computing solutions.

Teknor is a leading designer and manufacturer of high performance PCI/ISA, PCI, and CompactPCI single board computers and systems. Teknor has pioneered single board computing technology on the PCI and PCI/ISA bus form factor and is a founding member of the PICMG, a leading industry technology and standards development committee. Teknor's products provide Kontron with a wide range of high throughput, high availability and highly integrated solutions well suited for deployment in global telecom/datacom infrastructure and applications markets.
